Item 3.02 Unregistered Sales of Equity Securities.


As previously reported, Workhorse Group Inc. (the “Company”) entered into a securities exchange agreement (the “Exchange Agreement”) on April 5, 2022 with HT Investments MA LLC (the “Holder”), the holder of the Company’s 4.00% senior secured convertible notes due 2024 (the “Notes”). As provided under the Exchange Agreement, on April 6, 2022 (the “Initial Settlement Date”), the Holder exchanged $27,500,000 in aggregate principal amount of the Notes (the “Exchange Notes”), initially for 5,793,888 of shares (the “Exchange Shares”) of the Company’s common stock. The initial number of Exchange Shares was calculated by dividing $29,425,000, which represents 107% of the principal amount of the Notes, plus $293,333.33 of interest on the Notes, by the Daily VWAP of the Company’s common stock on April 5, 2022 (the “Exchange Formula”). On April 21, 2022, the final number of Exchange Shares will be determined by recalculating the Exchange Formula using the average of the Daily VWAPs for the 10 immediately preceding trading days. The Company will issue additional shares to the Holder, or the Holder will return previously issued shares to the Company, based on this calculation. The exchange is exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to Section 3(a)(9) of the Securities Act. As provided under the Exchange Agreement, following the initial delivery of the Exchange Shares, the Exchange Notes were cancelled, with the Company owing no further obligations thereunder. At this time, the Company currently has no Notes outstanding and the indenture (the “Indenture”) under which the Notes were issued and security agreement (the “Security Agreement’) securing the Notes, each dated October 14, 2020, between the Company and U.S. Bank, in its capacities as trustee and collateral agent (the “Trustee”), have each been terminated. As provided under the Security Agreement, the Trustee has disclaimed and given up any and all rights in the assets of the Company pledged as collateral under the Notes.


The Exchange Agreement contains customary representations, warranties, covenants, and other agreements by the Company and the Holder. The representations, warranties, covenants, and other agreements made in the Exchange Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement and may be subject to limitations agreed upon by the contracting parties. The above description of the Exchange Agreement does not purport to be complete and is qualified in its entirety by the complete text of such agreement, a form of which is filed as Exhibit 10.1, and incorporated herein by reference.
