The foregoing amounts include 1,456,667 shares of Common Stock plus warrants (“Warrants”) to purchase an additional 208,333 shares of Common Stock.  The Company has advised the Reporting Person that, as of April 25, 2011, the Company had 30,338,798 shares of Common Stock issued and outstanding.  Based on such information and assuming exercise of the Warrants owned by the Reporting Person, the Reporting Person beneficially owns approximately 5.45% of the Company’s Common Stock.
